1. Definitions
In these Terms:
"Account" means a user's account created through Google Sign-In.
"Audit" means the automated YouTube Channel Audit report generated by the Service.
"Google" means Google LLC and its associated services, including Google Sign-In, YouTube and YouTube Analytics.
"Organic Video", "we", "our" or "us" means Organic Video Limited.
"Service" means the free YouTube Channel Audit tool provided by Organic Video.
"User", "you" or "your" means any person using the Service.
2. About these Terms
I. These Terms govern your access to and use of the Organic Video YouTube Channel Audit.
II. By accessing or using the Service you confirm that you have read, understood and agree to be bound by these Terms together with our Privacy Policy and Cookie Policy.
III. If you do not agree with these Terms you must not use the Service.
3. The Service
I. Organic Video provides a free automated YouTube Channel Audit designed to analyse selected YouTube channel information and generate recommendations.
II. The Service is provided without charge.
III. The Audit is generated automatically using information that you authorise us to access through Google.
IV. The Audit is intended to provide general guidance only and should not be regarded as professional advice or a guarantee of future channel performance.
4. Eligibility
By using the Service you confirm that:
- you are at least 18 years old;
- you have legal authority to access the YouTube channel being analysed;
- the information you provide is accurate;
- your use of the Service complies with all applicable laws.
You must not connect or analyse a YouTube channel that you do not own or have authority to access.
5. User Accounts and Google Sign-In
I. Access to the Service requires authentication using your Google account.
II. By signing in you authorise Organic Video to access the Google account information and YouTube data required to generate your Audit.
III. Organic Video requests read-only access solely for the purpose of generating your Audit.
IV. We do not request access beyond that reasonably necessary to provide the Service.
V. Our use and transfer of information received from Google APIs will comply with the Google API Services User Data Policy, including the Limited Use requirements.
VI. You may delete your account at any time.
VII. Where you request deletion of your account, Organic Video will remove your personal data except where retention is required to comply with legal obligations or to retain a minimal pseudonymised record demonstrating lawful processing and consent.
6. Acceptable Use
You agree not to:
- misuse the Service;
- attempt to gain unauthorised access;
- interfere with the operation of the Service;
- upload malicious software;
- use automated tools to circumvent usage limits;
- use the Service for unlawful purposes;
- attempt to reverse engineer or copy the Service.
7. Usage Limits
To maintain the stability and security of the Service:
- users are limited to three Audits during any twenty-four hour period;
- no more than five Audits may be generated from the same IP address within a twenty-four hour period.
Organic Video may amend these limits where reasonably necessary to protect the Service.
8. Intellectual Property
I. All intellectual property rights in the Service, including its software, source code, algorithms, report format, branding, graphics, content and methodology remain the property of Organic Video or its licensors.
II. Nothing in these Terms transfers ownership of any intellectual property to you.
III. You retain ownership of your own YouTube content and data.
IV. You may download, retain and share your Audit report.
V. However, you may not reproduce, modify, distribute or commercially exploit any part of the Service, software, methodology, branding or source code without our prior written consent.
9. Audit Reports and Sharing
I. You may generate a share link allowing others to access your Audit.
II. Anyone who receives the share link may be able to view your report.
III. You are responsible for deciding who you share your report with.
IV. Organic Video cannot control or accept responsibility for any onward distribution of a report after you have chosen to share it.
V. Search engines are prevented from indexing shared reports where reasonably practicable.
VI. You may revoke a share link or delete your report at any time.
10. Privacy and Data Protection
I. Your use of the Service is also governed by our Privacy Policy and Cookie Policy.
II. Organic Video processes personal data in accordance with UK GDPR and the Data Protection Act 2018.
III. Further information regarding how your information is collected, processed, retained and deleted can be found within our Privacy Policy.
11. No Warranty
The Service is provided on an "as is" and "as available" basis.
Whilst Organic Video uses reasonable care in developing the Service, we do not warrant that:
- the Audit will be accurate;
- recommendations will improve channel performance;
- recommendations will increase subscribers, engagement or revenue;
- the Service will always be available;
- the Service will be free from interruptions, delays or errors.
12. Limitation of Liability
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any liability which cannot lawfully be excluded.
Subject to the above, Organic Video shall not be liable for:
- indirect or consequential loss;
- loss of profits;
- loss of business;
- loss of revenue;
- loss of goodwill;
- loss of anticipated savings;
- business interruption;
- loss arising from reliance on any Audit recommendations.
To the fullest extent permitted by law, Organic Video's total liability arising from or in connection with the free Service shall be limited to the maximum extent permitted by applicable law.
13. Suspension and Termination
Organic Video may suspend or terminate your access to the Service immediately where we reasonably believe that:
- you have breached these Terms;
- you have attempted to misuse the Service;
- your actions threaten the security or integrity of the Service;
- continued access would expose Organic Video or other users to unacceptable risk.
Termination does not affect any rights or liabilities that have already arisen.
14. Changes to the Service
I. Organic Video may modify, suspend or discontinue all or part of the Service at any time without prior notice.
II. We do not guarantee that the Service will remain available indefinitely.
15. Changes to these Terms
I. We may update these Terms from time to time.
II. Where changes are material we will publish an updated version on our website.
III. Continued use of the Service after revised Terms have been published constitutes acceptance of those revised Terms.
IV. Where changes materially affect your rights or obligations, we will take reasonable steps to notify users before the revised Terms take effect.
16. Force Majeure
I. Organic Video shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, industrial disputes, interruptions to utilities or telecommunications, cyber attacks, failures of third-party service providers, or changes to laws or regulations.
II. Where such an event continues for an extended period, Organic Video reserves the right to suspend or discontinue the Service.
17. Severability
If any provision of these Terms is found by a court or other competent authority to be unlawful, invalid or unenforceable, that provision shall be deemed severed from the remaining Terms. The remaining provisions shall continue in full force and effect.
18. Waiver
Failure or delay by Organic Video to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy, nor shall any single or partial exercise prevent any further exercise of that or any other right or remedy.
19. Entire Agreement
I. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Organic Video relating to your use of the Service and supersede any previous discussions, representations or understandings relating to the Service.
II. Nothing in these Terms excludes liability for fraudulent misrepresentation.
20. Assignment
I. You may not assign, transfer or otherwise dispose of any of your rights or obligations under these Terms without the prior written consent of Organic Video.
II. Organic Video may assign or transfer its rights and obligations under these Terms where reasonably necessary, including as part of a business sale, merger or corporate reorganisation.
21. Third Party Rights
A person who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.
22. Authentication and Google/YouTube Terms
I. The Service uses YouTube API Services. By using the Service you also agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). Your use of data accessed through Google is subject to the Google Privacy Policy (https://policies.google.com/privacy).
II. You can review and revoke Showrunner's access to your Google account at any time via the Google security settings page (https://myaccount.google.com/permissions). How we handle data we access is described in our Privacy Policy (https://audit.showrunner.net/privacy).
23. Electronic Acceptance
By accessing or using the Service, you acknowledge that you have read and accepted these Terms. Your continued use of the Service constitutes your agreement to be legally bound by them.
24. Governing Law
These Terms are governed by the laws of England and Wales.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
